Ein Verschmelzungsbericht ist für eine an der Verschmelzung beteiligte Gesellschaft bürgerlichen Rechts nicht erforderlich, wenn alle Gesellschafter dieser Gesellschaft zur Geschäftsführung berechtigt sind.
