(1) Die Anteilsinhaber können ihre Zustimmung zum Formwechselplan nach § 193 Absatz 1 davon abhängig machen, dass die Art und Weise der Mitbestimmung der Arbeitnehmer der Gesellschaft neuer Rechtsform ausdrücklich von ihnen bestätigt wird.
(2) Die Versammlung der Anteilsinhaber nimmt den Formwechselbericht, den Prüfungsbericht und etwaige Stellungnahmen nach § 336 in Verbindung mit § 308 Absatz 1 Satz 2 Nummer 4 zur Kenntnis, bevor sie die Zustimmung zum Formwechselplan beschließt.
