Der Formwechsel ist nur möglich, wenn auf jedes Mitglied, das an der Gesellschaft neuer Rechtsform beteiligt wird, als beschränkt haftender Gesellschafter ein Geschäftsanteil, dessen Nennbetrag auf volle Euro lautet, oder als Aktionär mindestens eine volle Aktie entfällt.
