Umwandlungsrecht
(1) Eine eingetragene Genossenschaft kann auf Grund eines Formwechselbeschlusses nach diesem Gesetz nur die Rechtsform einer Kapitalgesellschaft erlangen.
(2) Der Formwechsel ist nur möglich, wenn auf jedes Mitglied, das an der Gesellschaft neuer Rechtsform beteiligt wird, als beschränkt haftender Gesellschafter ein Geschäftsanteil, dessen Nennbetrag auf volle Euro lautet, oder als Aktionär mindestens eine volle Aktie entfällt.
