(1) Auf die Vorbereitung der Gesellschafterversammlung oder der Hauptversammlung, die den Formwechsel beschließen soll, sind die §§ 229 bis 231 entsprechend anzuwenden. § 192 Abs. 2 bleibt unberührt.
(2) Auf die Gesellschafterversammlung oder die Hauptversammlung, die den Formwechsel beschließen soll, ist § 239 Abs. 1 Satz 1, auf die Hauptversammlung auch § 239 Abs. 1 Satz 2 und Abs. 2 entsprechend anzuwenden.
